1. Acceptance of Terms

By accessing, downloading, installing, or using the centrexIT QuickBooks Online Integration application ("the Application"), you agree to be bound by the terms of this End-User License Agreement ("Agreement"). If you do not agree to these terms, do not use the Application.

2. Description of Application

The centrexIT QuickBooks Online Integration is a software application designed to integrate with Intuit QuickBooks Online ("QBO"). The Application facilitates data synchronization and workflow automation between your business systems and QuickBooks Online, enabling streamlined accounting and financial management processes.

3. License Grant

Subject to your compliance with this Agreement, centrexIT grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Application solely for your internal business purposes. This license does not permit you to:

• Sublicense, sell, rent, lease, transfer, assign, or distribute the Application
• Modify, reverse engineer, decompile, or disassemble the Application
• Remove or alter any proprietary notices or labels on the Application
• Use the Application for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any systems or networks

4. Data and Privacy

4.1 Data Access

The Application requires access to certain QuickBooks Online data to function properly, including but not limited to:

• Customer and vendor information
• Invoice and bill data
• Chart of accounts
• Financial transactions
• Company settings and preferences

4.2 Data Security

centrexIT implements industry-standard security measures to protect your data, including:

• Encryption of data in transit and at rest
• Secure authentication using OAuth 2.0
• Regular security assessments and updates
• Restricted access to authorized personnel only

4.3 Data Retention

We retain your data only as long as necessary to provide the services or as required by law. You may request deletion of your data by contacting us at the information provided below.

5. QuickBooks Online Integration

5.1 Third-Party Service

QuickBooks Online is a third-party service provided by Intuit Inc. Your use of QuickBooks Online is subject to Intuit's separate terms of service and privacy policy. centrexIT is not responsible for Intuit's services or any changes to QuickBooks Online that may affect the Application's functionality.

5.2 API Compliance

The Application complies with Intuit's API usage guidelines and developer agreement. We follow all platform requirements and maintain compliance with Intuit's security and technical standards.

5.3 Service Interruptions

The Application's functionality may be affected by service interruptions, maintenance, or changes to QuickBooks Online that are beyond our control. centrexIT will make reasonable efforts to minimize disruptions but is not liable for service unavailability.

6. Intellectual Property

The Application and all associated intellectual property rights are and shall remain the exclusive property of centrexIT. This Agreement does not grant you any ownership rights in the Application. All trademarks, service marks, and logos used in the Application are the property of their respective owners.

7. Disclaimers and Limitations of Liability

7.1 Warranty Disclaimer

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. centrexIT does not warrant that the Application will be error-free, uninterrupted, or free from harmful components.

7.2 Accuracy Disclaimer

While we strive to ensure the accuracy of data synchronization, errors or inaccuracies may occur. You are responsible for verifying the accuracy of all data and transactions processed through the Application.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, centrexIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE APPLICATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall centrexIT's total liability exceed the amount paid by you for the Application in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless centrexIT, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Application
• Your violation of this Agreement
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights

9. Termination

This Agreement is effective until terminated. centrexIT may terminate or suspend your access to the Application at any time, with or without notice, for any reason, including violation of this Agreement. Upon termination, you must cease all use of the Application and destroy all copies in your possession.

10. Modifications

centrexIT reserves the right to modify this Agreement at any time. We will provide notice of material changes by posting the updated Agreement on our website or through the Application. Your continued use of the Application after such modifications constitutes acceptance of the updated Agreement.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and centrexIT regarding the Application and supersedes all prior agreements and understandings, whether written or oral.
